Club Constitution
(the “Club”) – Current Iteration . Subject to revision.
Article I – Name & Identity

The organization shall be known as the Hot Wax Social Club (hereafter “Hot Wax” or “Hot Wax Club”).

This constitution governs the present iteration of the Club; earlier incarnations that may or may not have borne similar names are acknowledged but are not bound by this document.
Article II – Purpose
The purpose of Hot Wax is to provide a welcoming meeting space for individuals who share:

An appreciation of music, especially vinyl records (“chairs”).

A reverence for the concept of value—both monetary and cultural.
Hot Wax shall celebrate, discuss, and where appropriate sell vinyl records in order to spread musical tradition and wisdom, inspiration, artistic merit, and good feels (man).
Article III – Membership
Section 1 – Eligibility
- Any person may apply for membership; no purchase or belief in a higher power is required.
Section 2 – Application

An applicant must (a) express interest in membership, (b) acknowledge the Club’s values, and (c) indicate a desire to cultivate those values.

Expression may be made by any medium the applicant chooses (written, audio, video, art, etc.).
Section 3 – Admission & Invitation
- The Club may also extend invitations to individuals who demonstrate alignment with its values.
Section 4 – Dues

Membership dues are on an optional and voluntary basis. No purchase or donation necessary.

Dues and donations are accepted in bitcoin.
Section 5 – Revocation

The Club retains sole discretion to suspend or revoke membership at any time.

At least one written notice stating the specific charge shall be provided, though the Club does not guarantee a maximum number of warnings or “pettyness” of the process.
Article IV – Leadership Structure
Section 1 – Officer Positions
Hot Wax shall maintain the following officer roles (subject to future amendment):

| Vice‑President | Assists President; assumes President’s duties when absent. |
| Secretary | Records minutes, maintains membership roster, handles correspondence. |
| Treasurer | Manages Club finances, oversees the Lightning wallet, prepares financial reports. |
| Sergeant‑at‑Arms | Maintains order at meetings, enforces Club rules. |
| Road (Event) Captain | Organizes gatherings, listening sessions, and outings. |
| Committee Chairs (Vinyl Acquisition, Sales, Education, etc.) | Lead functional committees as established by the President. |
The above structure mirrors that of a traditional motorcycle club and may be altered by amendment of this Constitution.
Section 2 – Terms of Office

Each officer serves a two‑year term beginning on the first day of the month following election/appointment.

Officers may be re‑elected or re‑appointed after their term ends.
Section 3 – Selection Process

Officers are elected by the membership at the annual meeting (or a specially convened meeting).

A nomination must be seconded by at least two other members to appear on the ballot.

Voting is by simple majority of members present (or voting by proxy).
Section 4 – Removal & Vacancies

An officer may be removed by a simple‑majority vote of members present at a duly called meeting, provided the removal proposal is seconded and third‑sponsored.

Vacancies are filled by appointment of the President, subject to ratification by a simple‑majority of members at the next meeting.
Article V – Meetings

Regular Meetings shall be held at least once per month.

Special Meetings may be called by the President or by a written request of any two members.

Quorum – A minimum of one (1) member may conduct business provided the meeting has been duly sanctioned by the Club (i.e., proper notice has been given).
Article VI – Amendments

Proposal – Any member may propose an amendment. The proposal must be seconded and third‑sponsored by two additional members.

Voting – Upon meeting quorum, the amendment is adopted if it receives a simple majority of votes cast.

Presidential Veto – The President may veto any adopted amendment.

Veto Challenge – Within 72 hours of a veto announcement, any member may submit a veto‑challenge proposal (again with second and third sponsors). A re‑vote is then held; the amendment is reinstated only if it obtains a two‑thirds majority of votes cast.
Article VII – Finances
Section 1 – Acceptance of Funds

Voluntary dues are accepted via the Club’s Lightning wallet ( support@hotwax.club )

On‑chain Bitcoin donations require direct inquiry and approval by the leadership
Section 2 – Vinyl Sales

No vinyl transaction shall be considered a Club payment unless the “Host” (currently the President, unless otherwise designated) issues an invoice or explicit price request in satoshis with a destination address.

Payments sent directly to individual members’ wallets are not Club dues and are not guaranteed to be returned (by precedent set by the Fat Thumbs resolution).
Section 3 – Disbursement Authority
- The Treasurer may sign checks or authorize outgoing transactions solely with the written concurrence of the President.
Section 4 – Financial Reporting

The Treasurer shall present an annual financial statement to the membership at the yearly meeting.

Additional reporting (e.g., quarterly summaries) may be required by a simple‑majority vote of the membership.
Article VIII – Discipline & Conduct

Notice – At least one written notice specifying the alleged violation shall be delivered to the member in question.

Discretion – The Club retains sole discretion regarding the number of notices, warnings, suspensions, or revocations. No minimum standard of “pettiness” is guaranteed.
Article IX – Dissolution
Should the Club be dissolved:

All outstanding liabilities shall be settled first.

Remaining assets, including any cryptocurrency holdings, shall be transferred to a charitable organization chosen by a two‑thirds majority vote of the remaining members.
Article X – Miscellaneous

This Constitution may be reproduced and distributed to any current or prospective member.

All references to “the Host” shall be interpreted as the President unless the membership formally designates another individual for that role.

The leadership may, at any time, adopt by‑law provisions to clarify operational details not expressly covered herein, provided such bylaws do not conflict with this Constitution.
