The company said the filing “gives us the option to go public after the SEC completes its review” and stressed that the offering would depend on “market conditions and other factors,” with the number of shares and price still undecided.

Tech and business outlets quickly framed the step as the formal start of Anthropic’s march to the public markets. TechCrunch reported that Anthropic, the AI lab behind Claude, has filed confidentially for an initial public offering, noting that the company is valued at close to $1 trillion after a recent funding round. The Financial Times characterized the plan as a “blockbuster initial public offering” that will test Wall Street’s appetite for the AI boom.

A funding surge and soaring valuation

The confidential filing followed a massive Series H round that raised $65 billion and pushed Anthropic’s valuation to $965 billion, according to TechCrunch. The Verge reported that this made Anthropic “the world’s most valuable startup,” eclipsing OpenAI’s $852 billion post-money valuation.

Intensifying race with OpenAI and SpaceX

Reporters cast the IPO as a new phase in the rivalry between Anthropic and OpenAI. The Verge wrote that “the race between OpenAI and Anthropic is heating up (even more than before)”, highlighting months of speculation over which would reach the IPO milestone first. The Financial Times similarly said Anthropic’s filing “sets up [a] race with OpenAI and SpaceX”, positioning the deal within a broader wave of AI and space-related listings.

SpaceX’s own June 12 IPO, expected to raise around $80 billion, looms in the background, with The Verge noting that the rocket company — which owns xAI and recently signed a major data-center deal with Anthropic — is on track for what could be the largest IPO in history.

From Anthropic’s perspective, a confidential S-1 allows it to advance preparations without exposing financials and risk factors to public scrutiny until later in the process. Media accounts echo this, explaining that the company can refine its plans privately while regulators review the filing, before releasing a full S-1 that will reveal its finances, governance, and who controls voting power.
