Marvell’s $115 Billion Lumentum Bet Puts Optical AI at the Center
Marvell Technology said Monday it plans to acquire optical-components maker Lumentum in an all-stock transaction with an implied enterprise value of roughly $115 billion, a deal that would rank among the sector’s largest wagers on the physical plumbing of artificial intelligence.
The proposed combination is built around a simple premise: as data centers link ever-larger clusters of chips to train and run large language models, conventional electrical connections will increasingly give way to faster optical ones. Marvell Chairman and Chief Executive Matt Murphy called the shift a “once in a generation” opportunity, arguing that companies which move early “will set the standard for decades to come.”
Under the agreement, Lumentum shareholders would receive 4.5 Marvell shares for each share they own. With no cash component and a fixed exchange ratio, the ultimate value of the transaction will move with Marvell’s stock price. The companies expect the deal to close in the first half of 2028.
For Marvell, the acquisition extends an AI-connectivity push already under way. It completed a multibillion-dollar purchase of optical-interconnect startup Celestial AI earlier this year, while its market value has more than tripled over the past three years amid investor enthusiasm for AI infrastructure.
Lumentum, meanwhile, brings optical technology into a broader Marvell platform spanning electrical and optical systems. Its shares have more than doubled in 2026, though both companies’ stocks fell in premarket trading after the announcement: Marvell dropped 3% and Lumentum about 4%.
The market reaction underscores the tension behind the deal. Marvell sees a defining chance to build the connective tissue of AI data centers; skeptics of the wider boom still question whether today’s extraordinary infrastructure spending can be sustained.
