Marvell’s $115 Billion AI Bet Hinges on Optical Connectivity
Marvell Technology said Monday it will acquire optical-components maker Lumentum in an all-stock transaction with an implied enterprise value of $115 billion — a deal designed to put it at the center of the AI industry’s mounting demand for faster connections between chips and data centers.
The timing reflects a shift already underway in the infrastructure race. As companies link together ever-larger numbers of chips to train and run large language models, optical connections are becoming more important than conventional electrical links. Marvell argues that this is not a marginal upgrade but a structural change: “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity,” Chairman and CEO Matt Murphy said.
Under the agreement, Lumentum investors would receive 4.5 Marvell shares for each share they own. Because there is no cash component, the ultimate value of the takeover will rise or fall with Marvell’s stock, even though the companies put its implied value at $115 billion. The deal is expected to close in the first half of 2028.
For Marvell, the acquisition extends an AI-driven buying strategy that already included a multibillion-dollar purchase of optical-interconnect startup Celestial AI this year. Its market value has more than tripled over the past three years, while Lumentum shares have more than doubled in 2026 alone.
The scale is historic. Including Lumentum’s debt, the stock swap would rank as the largest deal ever by value between publicly traded technology companies, according to the report. Yet the immediate market reaction underscored the risk: Marvell shares fell 3% and Lumentum slipped about 4% before the bell, amid wider concern over whether the AI infrastructure spending surge can be sustained.
